Terms and Conditions for Stratos Advising Group

Welcome to Stratos Advising Group. These Terms and Conditions ("Terms") govern your use of our services, including strategic planning, organizational development, management consulting, process optimization, change management, leadership development, market analysis, advisory services for small to medium-sized businesses, human resources strategy, and financial advisory (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.

1. Acceptance of Terms

By engaging with Stratos Advising Group for any of our Services, you signify your unreserved acceptance of these Terms. Your continued use of our Services implies your ongoing agreement to these Terms and any future updates.

2. Description of Services

Stratos Advising Group provides comprehensive business consulting services. Our operations include, but are not limited to, the provision of strategic planning, organizational development, management consulting, process optimization, change management, leadership development, market analysis, advisory services for small to medium-sized businesses, human resources strategy, and financial advisory services. The precise scope of services will be detailed in a separate engagement agreement or proposal, which will complement and be subject to these Terms.

3. Client Responsibilities

As a client of Stratos Advising Group, you agree to:

• Provide accurate, complete, and timely information and materials as reasonably required for the performance of the Services.
• Ensure appropriate access to your personnel, data, and systems as necessary for Stratos Advising Group to deliver the Services effectively.
• Cooperate with Stratos Advising Group in a timely and professional manner.
• Be solely responsible for any decisions made based on the advice or recommendations provided by Stratos Advising Group.

4. Fees and Payment

Fees for Services will be outlined in a separate proposal or engagement letter. Unless otherwise specified, all fees are quoted in U.S. Dollars. Payment terms, including invoicing schedules and due dates, will be detailed in the engagement agreement. Failure to make timely payments may result in the suspension or termination of Services.

5. Confidentiality

Both Stratos Advising Group and the client agree to maintain the confidentiality of all non-public information disclosed during the course of the engagement. This includes, but is not limited to, business plans, financial data, client lists, methodologies, and proprietary strategies. Confidential information shall only be used for the purposes of the engagement and not disclosed to third parties unless required by law or with explicit consent.

6. Intellectual Property

Any intellectual property developed by Stratos Advising Group specifically for the client during the provision of Services, such as reports, models, or training materials, shall generally be the property of the client upon full payment for the Services. However, Stratos Advising Group retains ownership of its underlying methodologies, frameworks, and general know-how, which may be incorporated into the deliverables.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Stratos Advising Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify, and hold harmless Stratos Advising Group and its employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of A) your use and access of the Services, by you or any person using your account and password; B) a breach of these Terms, or C) any content posted by you.

9. Termination

Stratos Advising Group may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

11. Entire Agreement

These Terms constitute the entire agreement between Stratos Advising Group and you regarding our Services and supersede and replace any prior agreements, oral or otherwise, regarding the Services. Any specific engagement agreement or proposal will supplement these Terms.
